By submitting and/or publishing and allowing IndieBookBuzz to use your Content (as defined below) for inclusion in the IndieBookBuzz® Customer Image campaign, You hereby agree to these terms of agreement (the "Agreement") with Ingram Book Group LLC (“IndieBookBuzz”). You have been informed and understand that IndieBookBuzz is producing advertisements and/or other promotional content and products in physical and/or digital form (the “Works”), and that your name (or any fictitious name), likeness, image, photographs, video, sounds, voice, appearance, performance, social media handle, accompanying text and/or other information (the “Content”) may be used as part of the Works.
You hereby grant IndieBookBuzz, and its affiliated and subsidiary companies, the irrevocable right and license to use the Content in the Works, whether the Content is recorded on or transferred to videotape, film, slides, photographs, audio tapes, DVDs, print, advertisement, Facebook, Instagram, YouTube, Twitter, or other media now known or later developed (the “License”). This License includes, without limitation, the right to edit, digitally enhance, alter, mix, or duplicate the Content, and to use or re-use the Content, in whole or in part, in the Works, as IndieBookBuzz may elect in its sole discretion. You hereby waive any right to inspect or approve the Works. IndieBookBuzz shall have complete ownership in the Works in which the Content appears, including all copyright interests.
You agree that IndieBookBuzz has the sole right to broadcast, rebroadcast, exhibit, market, sell and distribute the Works, either in whole or in parts, including the creation of any derivative works of the Works, for any purposes that IndieBookBuzz, in its sole discretion, may determine, including without limitation advertising and promotion.
You confirm that You have the right to enter into this Agreement and that You own and/or possess all necessary rights and clearances, copyright and otherwise, to grant the License to the Content. You confirm and agree that all Content (i) will not violate any right of a third party, including copyright, trademark, privacy or publicity rights, and (ii) will not contain, or provide links to, obscene, profane, or threatening language, malware, political campaigning, commercial solicitation, chain letters, mass mailings, any form of “spam”, or any material that could be considered harmful, sexually explicit, indecent, lewd, violent, abusive, or degrading. You expressly release and agree to indemnify IndieBookBuzz and its affiliates, successors, assigns and/or licensees from any and all claims, including without limitation, any and all claims for invasion of privacy, infringement of right of publicity, defamation (including libel and slander) and any other personal and/or other property rights, arising out of or in any way connected with the License and representations made above. You agree that You shall not, now or in the future, assert or maintain any such claim against IndieBookBuzz, its affiliated or subsidiary companies, their successors, assigns and/or licensees.
